By accessing https://arkaholdings.ai(the “Site”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, do not use the Site. These Terms form a binding agreement between you and ARKA Holdings & Investments, Inc..

Nothing on this Site is an offer to sell, or a solicitation of an offer to buy, any security, partnership interest, or other investment. Any offering of interests in ARKA or in a project special-purpose vehicle will be made only to qualified counterparties through definitive offering documents, subject to applicable law. Subject to these Terms, ARKA grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal, internal, non-commercial use. You may not:

• Use the Site in violation of any law, sovereign compact, or third-party right.
• Reverse engineer, scrape, frame, or systematically download Site content except as expressly permitted.
• Interfere with the operation, security, or integrity of the Site, including by introducing malware or attempting to bypass access controls.
• Misrepresent your identity, affiliation, or authority when contacting us or accessing gated materials.
• Use any content from the Site to train, fine-tune, or otherwise develop a machine-learning model without ARKA's prior written consent.

The Site and all materials on it — including text, graphics, diagrams, source code, the ARKA, Möbius Hive, TALON, SIC, and BankQC marks, and the look and feel — are owned by ARKA or its licensors and are protected by intellectual property laws. No license is granted by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

TO THE FULLEST EXTENT PERMITTED BY LAW, ARKA AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. ARKA'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

You agree to defend, indemnify, and hold harmless ARKA from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue in those courts. Nothing in this section limits the sovereign authority of any tribal government that has jurisdiction over an ARKA project.

We may update these Terms from time to time. Material changes will be indicated by updating the effective date at the top of this page. Your continued use of the Site after changes take effect constitutes acceptance.
